1. Introduction

Welcome to KERO. These Terms & Conditions (“Terms”) govern your use of the KERO website and mobile application (collectively, the “Platform”) and the purchase of products from us.

By accessing our Platform or placing an order, you agree to be bound by these Terms. If you do not agree, please do not use our services.

2. Business Customers Only (B2B)

KERO is a strictly Business-to-Business (B2B) platform designed for the HORECA (Hotel, Restaurant, Catering) sector in the UAE.

• Eligibility: To create an account, you must represent a registered business entity. We require a valid Trade License and TRN (Tax Registration Number) for verification.
• Account Responsibility: You are responsible for maintaining the confidentiality of your account credentials. Any order placed through your business account is considered a binding commitment by your company.

3. Products & Availability

• Catalog: We strive to ensure all product descriptions, images, and prices for our 2,000+ products are accurate. However, minor variations in packaging or design may occur.
• Availability: All products are subject to stock availability. If an item is out of stock after you place an order, we will notify you immediately to arrange a substitute or a refund.
• Pricing: Prices are listed in UAE Dirhams (AED) and are exclusive of VAT unless stated otherwise. We reserve the right to update prices at any time due to market fluctuations, but the price at the moment of checkout is the price you pay.

4. Orders & Contract

• Order Acceptance: Your receipt of an order confirmation does not signify our final acceptance of your order. KERO reserves the right to accept or decline your order for any reason (e.g., credit limitations, delivery restrictions).
• Minimum Order: Orders may be subject to a Minimum Order Value (MOV). If applicable, this will be clearly displayed during checkout.

5. Payment Terms

• Methods: We accept Credit/Debit Cards, Bank Transfers, and Cash on Delivery (COD).
• Credit Accounts: For businesses approved for credit terms (e.g., Net 15 or Net 30), payment must be settled by the due date stated on the invoice. Late payments may result in account suspension or legal action.
• VAT: A standard VAT of 5% applies to taxable goods in accordance with UAE Federal Law. Tax Invoices are automatically generated for every order.

6. Delivery

• Timings: We aim to deliver within the time slot selected during checkout. However, unforeseen logistics issues (traffic, weather) may cause delays.
• Receipt of Goods: An authorized representative of your business must be present to receive and sign for the delivery.
• Title & Risk: Risk of loss or damage to the products passes to you upon delivery. Ownership of the goods passes to you once we receive full payment.

7. Returns & Cancellations

Our policies for returns and refunds are governed by our separate Returns Policy.

• Cancellations: You may cancel an order before it has been dispatched for delivery. Once dispatched, the order cannot be cancelled, but eligible items may be returned upon arrival.

8. Limitation of Liability

To the fullest extent permitted by UAE law, KERO shall not be liable for any indirect, incidental, or consequential damages (including loss of profits or business interruption) arising from the use of our Platform or products.

9. Intellectual Property

All content on the KERO Platform—including logos, text, graphics, and software—is the property of KERO and is protected by copyright laws. You may not use our brand materials without prior written consent.

10. Governing Law

These Terms shall be governed by and construed in accordance with the federal laws of the United Arab Emirates and the local laws of the Emirate of Dubai. Any disputes arising shall be subject to the exclusive jurisdiction of the Dubai Courts.
